Administrative Responsibility of Entities

The Legislative Decree No. 231/2001 introduced into our legal system the administrative liability of legal persons and companies, associations, or entities, including those without legal personality, in case of commission or attempted commission of certain offenses (so-called predicate offenses) committed by persons in senior or lower positions in the interest or to the advantage of the entity.

The adoption and effective implementation of an Organisational, Management, and Control Model based on the entity’s specificities, as well as the appointment of a Supervisory Board to guarantee control over the operation of and compliance with the Model, constitute the main instruments necessary to exonerate the entity from administrative liability in the event of a predicate offense.
